About Jackson Counsel

Jennifer Jackson is the founder of Jackson Counsel, a boutique law firm based in San Diego, California, dedicated to providing strategic, responsive legal counsel to businesses, investors, and individuals on complex real estate, corporate, and private wealth matters where precision, discretion, and tactical execution are paramount.

Ms. Jackson’s practice is centered on high-value commercial real estate, business and personal transactions, including acquisitions, dispositions, development, leasing, planning and financing. She serves as lead counsel throughout the transaction lifecycle – from structuring through closing and post-closing – ensuring each matter is executed with both legal rigor and alignment to her clients’ broader objectives.

Her real estate practice spans a diverse range of asset classes, including commercial, residential, unimproved, and government-owned properties. Ms. Jackson regularly represents clients before governmental and regulatory bodies and works closely with multidisciplinary teams to navigate complex land use, permitting, and zoning matters.

She has extensive experience representing telecommunication clients in complex, mission-critical transactions, including acquisitions and dispositions, easements, licenses, leases and other operational arrangements, where regulatory compliance, timing, and scalability are central considerations.

She advises on sophisticated real property issues, including §1031 like-kind exchanges, valuation considerations involving charitable façade easements, and the resolution of landlord-tenant and title and boundary disputes.

Ms. Jackson counsels clients on commercial lease compliance and operating expense matters, including the review and analysis of expense pass-throughs, CAM reconciliations, and audit rights. She advises tenants and landlords on the interpretation and enforcement of lease provisions, and represents clients in resolving disputes related to operating expenses, rent obligations, and lease administration.

Ms. Jackson advises on a range of business transactions, including entity formation, governance, and dissolution, as well as manufacturing, distribution, and supply chain arrangements. Her practice includes drafting and negotiating commercial agreements, structuring vendor and logistics relationships, and addressing operational and risk allocation matters. She also represents clients in secured financing transactions, with experience in collateral structuring, lien priority, and intercreditor arrangements. In addition, she counsels clients on day-to-day commercial matters and strategic transactions, with an emphasis on execution and long-term business objectives.

In addition, Ms. Jackson advises clients on vessel documentation matters with the United States Coast Guard, including initial registration, ownership transfers, registration renewal and lien recording for documented yachts. She assists clients in navigating federal documentation requirements and coordinating with lenders, brokers, and documentation agents to facilitate vessel acquisitions and financing.

Clients rely on Ms. Jackson to manage complexity across both their business and personal affairs. Complementing her business and real estate practice, Ms. Jackson advises individuals and families on trust and estate planning, including trust structuring and the integration of real estate and business interests into cohesive wealth planning strategies. Her approach is practical and tailored, with an emphasis on long-term asset management and the orderly transfer of wealth.

Her clients include entrepreneurs, closely held businesses, and national and publicly traded companies, as well as individuals and families. Across all representations, she brings a disciplined, solutions-oriented approach grounded in efficiency, foresight, and a clear understanding of the implications of legal decisions.

Prior to practicing law, Ms. Jackson held an executive leadership role in a multi-state enterprise, overseeing operations across the western United States and Canada. Her background includes experience in supply chain management, product development, marketing, import-export compliance, and vendor negotiations, which continues to inform her commercially focused approach to legal counsel.

Ms. Jackson earned her Bachelor of Science, magna cum laude, from Arizona State University, and her J.D., cum laude, from California Western School of Law, where she received multiple Academic Excellence Awards, maintained the Dean’s Merit Scholarship, and graduated with Honors in Business Law.
